TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

These Terms of Service ("Terms") govern your access to and use of spadecreative.org and any services provided by Spade Creative ("Spade Creative," "we," "us," or "our"). By using the website or engaging our services, you agree to these Terms.

2. SERVICES

We provide creative and technical services including music production, video production, web design, software development, and social media management.

Project-specific details (scope, timeline, deliverables, payment milestones, and revision limits) are defined in separate written agreements, proposals, or statements of work. If a conflict exists, the signed project agreement controls for that engagement.

3. PROJECT APPROVALS AND CLIENT RESPONSIBILITIES

• You agree to provide accurate information, materials, and timely feedback.
• You represent that you have rights to all assets and content you provide to us.
• Delays in approvals, feedback, payment, or required materials may affect timeline and delivery dates.
• Approved milestones, edits, or final files may be considered accepted if no revision request is made within the agreed review window.

4. FEES, DEPOSITS, AND PAYMENT TERMS

• Most projects require a non-refundable deposit before work begins.
• Invoices are due according to the schedule in your agreement.
• Late balances may incur fees and may result in paused work or withheld deliverables.
• Unless otherwise stated, final source files or transfer of rights are released after full payment.

5. INTELLECTUAL PROPERTY

All website content, branding, text, graphics, and platform materials owned by Spade Creative are protected by intellectual property laws.

• Client-owned materials: You retain ownership of materials you provide, subject to licenses needed for us to perform services.
• Project deliverables: Ownership and usage rights transfer as defined in your project agreement after all payments are complete.
• Portfolio use: Unless prohibited in writing, we may display completed work for marketing and case-study purposes.

6. CANCELLATIONS, RESCHEDULING, AND REFUNDS

Cancellation and rescheduling terms are defined in each project agreement. Unless otherwise agreed:

• Deposits are non-refundable.
• Completed work to date is billable.
• Studio sessions may require at least 24 hours notice to avoid cancellation fees.

7. DISCLAIMERS

Services and website content are provided on an "as is" and "as available" basis. We do not guarantee uninterrupted operation, specific business outcomes, platform algorithm results, or third-party service availability.

8. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Spade Creative is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or reputation.

Our aggregate liability for claims arising from a specific engagement will not exceed the amount paid to Spade Creative for that engagement.

9. INDEMNIFICATION

You agree to indemnify and hold harmless Spade Creative and its affiliates from claims, losses, and expenses arising out of your content, misuse of services, or violation of these Terms.

10. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. Any dispute will be brought in the state or federal courts located in or serving Nashville, Tennessee.

11. CHANGES TO THESE TERMS

We may update these Terms from time to time. Updates are effective when posted to this page with a revised date.
